R.I.P BOIR for U.S. Companies - Major Shift in Corporate Transparency Act

In a major shift, FinCEN has issued an interim final rule that exempts all U.S. companies from beneficial ownership information (BOI) reporting under the Corporate Transparency Act. Effective March 21, 2025, only foreign entities registered to do business in the U.S. will be required to report BOI—marking a significant rollback in the Act’s scope and reporting obligations.
